Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Charly CRM CRM platform, websites, and related services (collectively, the “Service”) operated by EUC Business Partners (“we”, “us”, or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

2. Accounts and Workspaces

You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. Each workspace (organization) is managed by its designated owner and administrators, who control member access and the data stored in that workspace.

3. Subscriptions, Billing, and Trials

Paid plans are billed in advance on a recurring monthly basis through our payment provider, Paddle, which acts as merchant of record and handles payments, taxes, and refunds. New accounts begin with a free trial as described at sign-up; no payment method is required for the trial. If you do not purchase a plan before your trial ends, your workspace data may be restricted or deleted after a reasonable grace period.

Plan upgrades are applied immediately with prorated charges. Downgrades take effect at the start of the next billing period. If you cancel, you retain access until the end of the current paid period; access then ends unless you resubscribe.

4. Acceptable Use

You agree not to use the Service to:

• Send unsolicited bulk messages (spam) or messages that violate applicable laws, including anti-spam, telemarketing, and TCPA/A2P 10DLC rules for SMS.
• Upload or transmit unlawful, infringing, or harmful content, malware, or material that violates the rights of others.
• Attempt to gain unauthorized access to the Service, other workspaces, or related systems.
• Resell, sublicense, or provide the Service to third parties as a competing offering without a written agency agreement with us.

We may suspend or terminate accounts that violate these rules or applicable law.

5. Your Data and Messaging

You retain ownership of the contacts, messages, and other data you store in your workspace (“Your Data”). You are responsible for having a lawful basis (such as consent) to contact the people you message through the Service, and for honoring opt-out requests. You grant us a limited license to host, process, and transmit Your Data solely to provide the Service.

6. Third-Party Integrations

The Service integrates with third-party providers you connect, such as Google (Gmail), Telnyx, and payment providers. Your use of those services is governed by their terms, and we are not responsible for third-party acts or omissions.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify or discontinue features, provided material reductions to paid plans are communicated in advance where reasonably possible.

8. Disclaimer and Limitation of Liability

The Service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, EUC Business Partners shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us in the twelve (12) months preceding the claim.

9. Termination

You may cancel your subscription or delete your workspace at any time. We may suspend or terminate your access for violations of these Terms or non-payment, with notice where practicable.

10. Changes and Contact
